2. EQUIPMENT AND OWNERSHIP

  1. The lessor rents to the renter the equipment and accessories specified in the Equipment Schedule and the written records agreed by the parties.
  2. Model, quantity, serial number, rent, deposit and ownership details are determined by the Equipment Schedule and written confirmations.
  3. This is a rental agreement and does not transfer ownership. Title remains with the owner identified by the lessor.
  4. Without prior written consent, the renter must not sell, sublease, lend, mortgage, pledge, open, modify, exchange parts or otherwise dispose of the equipment.
  5. Before signing, the parties should confirm dimensions, installation space, ports, power, cables and compatibility relevant to the intended use.
  6. Quotations, product pages, messages, email, delivery photographs and other written records confirmed by the parties form part of the agreement where relevant.
  7. The renter must disclose any special compatibility, space or installation requirement before signing. A requirement not recorded in writing is not treated as an agreed special requirement.
  8. Unless the lessor expressly guarantees a particular compatibility outcome in writing, the renter must check that the renter's own parts, accessories and environment are compatible.
  9. Nothing in this clause excludes any non-excludable right under Australian law. Where disclosed specifications are materially accurate, incompatibility caused solely by the renter's own equipment does not of itself establish breach by the lessor.

3. RENTAL TERM

  1. The rental term starts on ____-__-__ and ends on ____-__-__.
  2. A single rental term must not exceed 24 months.
  3. A renewal request must be made in writing at least 7 days before expiry and is effective only when confirmed in writing by both parties.
  4. The renter must not retain the equipment beyond the agreed term without written consent.
  5. Subject to mandatory law and any express written agreement, a change of mind, travel, budget, address, compatibility or lack of further need does not automatically end the agreement.
  6. Any early-return arrangement, collection date and financial adjustment must be recorded in writing.

4. RENT, DEPOSIT AND PAYMENT

  1. Rental rate: AUD ___ per week.
  2. Security deposit: AUD 0.
  3. Rent, deposit and other agreed amounts must be paid to the account nominated by ROUNDUP TECH PTY LTD unless otherwise notified in writing.
  4. The lessor may apply a deposit only to substantiated unpaid rent, reasonable damage or missing-item costs, and other amounts lawfully payable under this agreement.
  5. After return and final assessment, any balance of the deposit must be returned within a reasonable time.
  6. Any treatment of prepaid rent on early termination remains subject to mandatory law, the circumstances of termination and the lessor's duty not to obtain double recovery.
  7. A deposit is security for performance and is not automatically the final rental payment unless agreed in writing.

5. DELIVERY, USE ADDRESS AND CARE

  1. At delivery, the parties should check appearance, function, serial numbers, dimensions and accessories and may retain photographs or video.
  2. Approved use address: ________________________________________.
  3. The renter must not permanently move the equipment to another address without written consent.
  4. The renter must use the equipment lawfully and with reasonable care and must not intentionally damage, misuse or overload it.

6. PROHIBITED USE

The following use is prohibited and may constitute a material breach:

7. INSPECTION, REPAIR AND COLLECTION

  1. Where there are reasonable grounds to suspect prohibited use, unauthorised modification, part substitution or abnormal load, the lessor may request a reasonable inspection.
  2. The renter must reasonably cooperate with an inspection or return for testing. Inspection arrangements must respect the renter's privacy and occur on reasonable notice unless urgent.
  3. Faults arising from ordinary use and not caused by the renter will be handled by the lessor subject to applicable consumer guarantees.
  4. The renter is responsible for actual reasonable loss caused by misuse, unauthorised modification, liquid, impact, abnormal power, prohibited use, loss or theft, subject to clause 8.

8. DAMAGE, DEFAULT AND AGREED COMPENSATION METHOD

  1. If the renter fails to pay, refuses to return equipment, unlawfully subleases it, substitutes parts or materially breaches this agreement, the lessor may require rectification, terminate where legally permitted, recover the equipment and claim substantiated loss.
  2. Compensation is not an automatic fine. It is limited to actual, reasonable and evidenced loss and must not exceed the lower of reasonable repair cost, depreciated like-for-like replacement value, or the applicable cap in the Equipment Damage Compensation Standard.
  3. Fair wear and tear, pre-existing damage, inherent defects and failures not caused by the renter are excluded. The lessor must provide an itemised assessment and supporting evidence and allow a reasonable opportunity to dispute it.
  4. The following equipment-specific statements apply because these categories are included in this agreement:
    • Desktop computer — up to AUD $5500.00 for loss or economic total loss, always subject to the actual-loss, depreciation, evidence and no-double-recovery rules above. Partial damage uses the itemised schedule.
    • Monitor — up to AUD $1600.00 for loss or economic total loss, always subject to the actual-loss, depreciation, evidence and no-double-recovery rules above. Partial damage uses the itemised schedule.
  5. Detailed component-level amounts, damage thresholds and assessment rules are contained in the attached English Equipment Damage Compensation Standard, which forms part of this agreement.
  6. Open the applicable Equipment Damage Compensation Standard.
  7. Nothing in this clause excludes or limits a non-excludable guarantee, right or remedy under the Australian Consumer Law.

9. RETURN, RISK AND TERMINATION

  1. On expiry or lawful termination, the renter must promptly return the equipment and all accessories.
  2. The equipment must be returned in working condition, allowing for fair wear and tear.
  3. From delivery until accepted return, the renter bears the risk of renter-caused loss, theft or damage.
  4. A serious payment default, prohibited use, unauthorised part substitution, refusal of a reasonable inspection or refusal to return may permit termination and recovery action, subject to applicable law and required notice.
  5. Acceptance of an early physical return does not by itself waive existing lawful claims or create a right to double recovery.

10. AUSTRALIAN CONSUMER LAW

  1. Nothing in this agreement excludes, restricts or modifies any guarantee, right or remedy that cannot lawfully be excluded.
  2. Where the renter has statutory consumer rights or guarantees, those protections continue to apply.
  3. If a term conflicts with mandatory law, the mandatory law prevails and the remaining terms continue so far as legally possible.
  4. Any standard-form term is to be interpreted transparently and only to the extent reasonably necessary to protect legitimate interests.

11. NOTICES

  1. ROUNDUP TECH PTY LTD is the primary operational and notice contact unless otherwise notified in writing.
  2. A notice may be given by email or another written channel used and accepted by the parties.
  3. The renter must promptly notify changes to contact or delivery details.

12. GOVERNING LAW AND DISPUTES

  1. This agreement is governed by the laws of New South Wales, Australia.
  2. The parties should first attempt to resolve a dispute in good faith, including exchange of itemised evidence. If unresolved, either party may use an available tribunal, court or statutory dispute process with jurisdiction.

13. GENERAL

  1. This agreement may be signed electronically or on paper. Electronic consent and signature records may be used as evidence subject to applicable law.
  2. The Equipment Schedule, delivery records, photographs, video, payment records and written confirmations may form part of this agreement.
  3. Any variation must be recorded in writing.
  4. If a term is invalid or unenforceable, the remaining terms continue to the extent possible.
